Liability, Accuracy & Third-Party Services Acknowledgment

1. Purpose of Restaurant Rescue AI

Restaurant Rescue AI is a software and informational tool designed to assist restaurant owners, managers, operators, and other users with restaurant operations and decision-making. Restaurant Rescue AI does not operate, control, manage, supervise, or make decisions for the user's restaurant or business.

The user remains solely responsible for all decisions and actions taken in connection with their restaurant or business.

2. No Guarantee of Accuracy

Restaurant Rescue AI, its creator, developer, owner, operators, affiliates, and service providers do not guarantee that information, calculations, reports, artificial-intelligence-generated content, forecasts, recommendations, alerts, projections, dashboards, operational reports, or other information generated or displayed by the application will be completely accurate, complete, current, error-free, or suitable for a particular business decision.

Users are responsible for independently reviewing and verifying all information before relying upon it.

3. Business and Financial Information

The user acknowledges that Restaurant Rescue AI is not responsible for losses, damages, expenses, incorrect decisions, lost profits, lost sales, increased labor costs, food-cost variances, inventory discrepancies, accounting discrepancies, tax consequences, payroll issues, cash shortages, scheduling problems, operational problems, or other business consequences resulting from information entered into, calculated by, imported into, generated by, or displayed by Restaurant Rescue AI, to the maximum extent permitted by applicable law.

Users are responsible for verifying their own restaurant records, financial information, accounting information, inventory, sales, labor, food costs, pricing, profitability, guest counts, cash information, invoices, reports, and other business data.

4. POS Systems and Third-Party Integrations

Restaurant Rescue AI may connect with third-party systems, including point-of-sale systems, payment processors, APIs, software platforms, vendors, or other outside services. Restaurant Rescue AI does not control these third-party systems.

The user acknowledges that third-party integrations may experience:

• Inaccurate information
• Missing information
• Delayed information
• Synchronization problems
• Duplicate information
• Incorrect calculations
• API failures
• Service interruptions
• Outages
• Connection failures
• Authorization problems
• Changes made by the third-party provider
• Discontinued services or integrations

Restaurant Rescue AI and its creator, developer, or owner are not responsible for errors, omissions, interruptions, losses, or business consequences caused by third-party platforms or integrations, to the maximum extent permitted by applicable law.

The user is responsible for comparing information imported from a POS system or other third-party platform against the restaurant's actual records before relying on that information.

5. Artificial Intelligence Disclaimer

Restaurant Rescue AI uses artificial intelligence and automated systems.

AI-generated information may occasionally be inaccurate, incomplete, outdated, misleading, or inappropriate for a user's particular restaurant or circumstances.

AI-generated recommendations are provided for informational and decision-support purposes and should not be treated as guaranteed business, accounting, financial, tax, legal, food-safety, employment, or professional advice.

The user remains responsible for deciding whether or not to follow any recommendation produced by the application.

6. Payment and Credit Card Information

Payments and subscriptions for Restaurant Rescue AI are processed through Stripe, a third-party payment-processing provider.

Payment-card information is entered directly into Stripe's hosted and Stripe-managed payment interfaces and is transmitted to and processed by Stripe. Restaurant Rescue AI does not collect, store, or retain full credit-card numbers, CVC/CVV codes, or other raw sensitive card data in its application, database, logs, analytics, or server functions. Restaurant Rescue AI may display or store only non-sensitive references supplied by Stripe, such as a card brand, the last four digits, expiration month and year, subscription status, and Stripe identifiers needed to manage a subscription.

Payment information submitted through Stripe's payment interface is handled according to Stripe's systems, security procedures, terms, and privacy practices.

Restaurant Rescue AI's creator or developer does not control Stripe's systems and cannot guarantee the continuous availability or error-free operation of Stripe's services.

Users acknowledge that issues originating from Stripe's payment-processing services, banking networks, card issuers, or other outside financial systems may be outside the control of Restaurant Rescue AI.

7. No Guarantee of Results

Restaurant Rescue AI does not guarantee:

• Increased sales
• Increased profits
• Decreased labor costs
• Decreased food costs
• Reduced expenses
• Improved restaurant performance
• Improved customer satisfaction
• Successful business results
• Accurate projections
• Successful implementation of recommendations

Results will vary based on factors outside the control of Restaurant Rescue AI.

8. User Responsibility

The user acknowledges that they are responsible for:

• Managing their restaurant
• Verifying information
• Confirming calculations
• Reviewing POS information
• Reviewing accounting and financial records
• Complying with applicable laws and regulations
• Food safety
• Employee management
• Scheduling
• Payroll
• Taxes
• Pricing
• Inventory
• Cash handling
• Purchasing
• Operational decisions
• Business decisions
• Deciding whether to act on AI-generated recommendations

9. Limitation of Liability

To the maximum extent permitted by applicable law, Restaurant Rescue AI and its creator, owner, developer, operators, affiliates, employees, contractors, and service providers shall not be liable for indirect, incidental, consequential, special, exemplary, or business losses arising from or related to the use of, inability to use, reliance upon, or interpretation of information provided through the application.

This includes, where permitted by law, losses resulting from inaccurate information, user-entered information, AI-generated information, calculations, reports, POS integrations, third-party integrations, payment-processing services, system outages, software errors, synchronization errors, or other technical problems.

To the fullest extent permitted by applicable law, the aggregate liability of Restaurant Rescue AI and its developer arising out of or relating to the Application shall not exceed the amount actually paid by the Subscriber to Restaurant Rescue AI during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation applies to claims arising out of or relating to use of or inability to use the Application, business interruption, lost revenue, lost profits, lost customers, employee disputes, payroll errors, scheduling errors, timekeeping errors, inventory errors, food-cost calculations, labor calculations, financial calculations, POS integrations, payroll integrations, vendor integrations, artificial-intelligence output, data entered by users, lost or corrupted information, unauthorized account access, third-party services, cybersecurity incidents, data breaches, decisions made in reliance upon Application information, or any other use of or reliance upon the Application — even if the possibility of such damages was known or should have been known.

Nothing in this acknowledgment excludes or limits liability that cannot legally be excluded or limited under applicable law.

10. Use of the Application at the User's Own Risk

Restaurant Rescue AI is provided as a restaurant-management, operational, analytical, organizational, and artificial-intelligence-assisted software tool. By creating an account, purchasing or activating a subscription, accessing, or using the Application, the Subscriber and each authorized user expressly acknowledges and agrees to these terms.

Use of the Application and reliance upon any information, calculations, reports, recommendations, projections, analyses, artificial-intelligence output, integrations, or other content generated through the Application is entirely at the Subscriber's and user's own discretion and risk.

The developer, creator, owner, operator, company, its members, officers, employees, contractors, affiliates, licensors, service providers, and representatives are not responsible for business decisions made by a Subscriber or user based upon information obtained from or through the Application. The Subscriber remains solely responsible for reviewing and verifying all information before using it to make operational, employment, payroll, financial, inventory, scheduling, food-cost, labor-cost, purchasing, accounting, tax, compliance, or other business decisions.

11. User-Entered Information and Authorization

The Subscriber is solely responsible for the accuracy, legality, completeness, authorization, and appropriateness of information entered, uploaded, transmitted, scanned, imported, stored, or otherwise provided through the Application, including without limitation:

• Employee information
• Payroll information
• Wage and salary information
• Social Security information
• Banking or direct-deposit information
• Addresses and contact information
• Scheduling information
• Timekeeping information
• POS information
• Sales information
• Inventory information
• Vendor information
• Invoice information
• Financial information
• Restaurant operational information
• Documents, photographs, and uploaded files

The Subscriber represents that it has all necessary authority, permissions, notices, and consents required by applicable law to collect, enter, upload, process, or store such information using the Application. Restaurant Rescue AI does not independently verify whether a Subscriber is legally permitted to submit information concerning another person.

12. Data Security and Cybersecurity Disclaimer

Restaurant Rescue AI implements administrative, technical, organizational, and security measures intended to protect information processed through the Application.

However, no internet-connected system, database, software application, cloud platform, network, electronic transmission, or third-party service can be guaranteed to be completely secure. The Subscriber acknowledges and accepts the inherent risks associated with electronically transmitting and storing information.

To the maximum extent permitted by applicable law, Restaurant Rescue AI and its developer are not liable for damages arising from unauthorized access, cybersecurity incidents, hacking, malware, ransomware, credential theft, third-party attacks, telecommunications failures, cloud-provider incidents, or other unauthorized access to data that occurs despite commercially reasonable security measures.

Nothing in these terms is intended to waive, restrict, or eliminate any obligation that cannot legally be waived under applicable privacy, cybersecurity, consumer-protection, or data-breach notification law.

13. User Account Security

Subscribers and authorized users are responsible for maintaining the confidentiality and security of their username, password, authentication credentials, devices, user accounts, administrative accounts, and employee accounts.

Subscribers are responsible for activity occurring through accounts under their control unless otherwise required by applicable law, and must promptly report suspected unauthorized account access or compromised credentials.

To the maximum extent permitted by applicable law, Restaurant Rescue AI is not responsible for losses resulting from a Subscriber's or user's failure to reasonably secure credentials, devices, accounts, or access permissions.

14. Third-Party Services and Integrations

Restaurant Rescue AI may integrate or communicate with independent third-party services, including Stripe; supported AI providers such as OpenAI, Google Gemini and Anthropic Claude; POS and payroll providers; restaurant vendors and distributors; cloud, email and data-storage providers; and optional services added in the future.

The customer's organization is responsible for establishing and maintaining its provider accounts, credentials, subscriptions, API access, permissions, security settings and billing relationships. Restaurant Rescue AI subscription fees do not include provider charges unless expressly stated otherwise in writing.

Automated functionality depends on successful supported connections. Without the applicable integration, a feature may be disabled or limited, data may not synchronize, reports or calculations may contain less available data, and manual entry may be required. Normal paying customers must connect a supported organization-owned AI provider before real AI-powered features can run, and that provider bills the organization directly.

Restaurant Rescue AI does not guarantee a third party's availability, uptime, API access, compatibility, pricing, usage limits, policies, security, performance or continued support. A provider interruption or change does not by itself mean Restaurant Rescue AI has malfunctioned.

Disconnecting an integration stops future access or synchronization as described in the application but does not automatically delete existing Restaurant Rescue AI records. Separate deletion is required. To the maximum extent permitted by law, Restaurant Rescue AI is not responsible for outages, errors, losses, security incidents, processing, policy changes or acts or omissions attributable to third parties.

15. No Professional Advice

Restaurant Rescue AI and any artificial-intelligence functionality provided through the Application do not constitute legal, accounting, tax, payroll, employment, human-resources, financial, cybersecurity, food-safety, regulatory, or other licensed professional advice.

Subscribers are responsible for consulting qualified professionals when professional advice is required.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESTAURANT RESCUE AI IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND RELIABILITY, ARE DISCLAIMED.

Restaurant Rescue AI does not warrant that the Application will operate continuously, without interruption, without defects, without security incidents, or without errors.

17. Release and Assumption of Risk

To the fullest extent permitted by applicable law, the Subscriber knowingly assumes the risks associated with using software, cloud-based services, artificial intelligence, electronic data storage, third-party integrations, and internet-based communications.

The Subscriber agrees that Restaurant Rescue AI is a tool intended to assist with restaurant operations and does not replace the Subscriber's independent judgment, management responsibilities, internal controls, professional advisors, or legal and regulatory obligations.

18. Indemnification

To the maximum extent permitted by applicable law, the Subscriber agrees to defend, indemnify, and hold harmless Restaurant Rescue AI, its developer, owner, operator, company, members, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal expenses arising from or related to:

• Information submitted by the Subscriber or its users
• Unauthorized or unlawful use of the Application
• Violation of these terms
• Violation of applicable law
• Violation of another person's privacy or other rights
• The Subscriber's employment practices
• The Subscriber's payroll practices
• The Subscriber's restaurant operations
• Actions taken based upon information generated by the Application

This provision applies only to the extent permitted by applicable law.

19. Dispute Resolution

Any arbitration agreement, class-action waiver, jury-trial waiver, governing-law provision, venue provision, or other dispute-resolution provision contained within the Restaurant Rescue AI Terms of Service remains fully effective and applies to this acknowledgment.

20. Severability

If any portion of this acknowledgment is determined by a court, arbitrator, or other competent authority to be invalid, illegal, or unenforceable, that provision shall be enforced to the greatest extent legally permitted, and the remaining provisions shall remain in full force and effect.

21. Express Electronic Acceptance Required

A Subscriber and each authorized user must affirmatively agree to the Terms of Service, Privacy Policy, this acknowledgment, and the Third-Party Integrations & Full Platform Functionality acknowledgment before being permitted to use Restaurant Rescue AI. Acceptance boxes are unchecked by default, are required before proceeding, and link to the complete documents.

Restaurant Rescue AI records each acceptance in its database, including the authenticated user's account, the date and time of acceptance, the document title, the document version accepted, and its effective date. Acceptance is verified on the server, not only in the browser.

If these documents are materially changed, the Subscriber and each authorized user must affirmatively accept the updated version before continuing to use the Application.

22. Relationship to Other Agreements

This acknowledgment applies alongside the Terms of Service (including the subscription, automatic-renewal, and no-refund terms) and the Privacy Policy, and those documents are incorporated into it by reference. If a conflict exists, the provision that provides the clearest protection permitted by applicable law applies.

Nothing in this acknowledgment is represented as overriding any federal, state, local, privacy, cybersecurity, data-breach, consumer-protection, or other law that legally cannot be waived.
