Terms of Service

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use Restaurant Rescue AI.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate information when creating your account and to keep your information up to date.

3. Subscription Services

Restaurant Rescue AI offers subscription-based services that provide access to premium features.

Some features may not be available without an active subscription.

Subscription prices, plans, and available features may change in the future. Changes will not affect the current billing period unless otherwise required by law.

4. Billing and Payments

Payments are securely processed by Stripe.

By purchasing a subscription, you authorize recurring charges according to the subscription plan you selected until the subscription is canceled.

You are responsible for keeping your payment information current.

5. Free Trials

If a free trial is offered, it automatically converts to a paid subscription unless canceled before the trial ends.

Eligibility for free trials may be limited.

6. Cancellation

You may cancel your subscription at any time.

Cancellation prevents future renewal charges but does not refund payments already made.

You will continue to have access to paid features until the end of your current billing period.

7. No Refund Policy

All subscription purchases are final.

Except where required by applicable law, Restaurant Rescue AI does not provide refunds, credits, or partial refunds for:

• Subscription payments
• Partial billing periods
• Unused features
• Failure to use the service
• Early cancellation

Please review your subscription carefully before purchasing.

8. Acceptable Use

You agree not to:

• Use the service for unlawful purposes.
• Attempt unauthorized access to accounts or systems.
• Upload malicious software or harmful code.
• Interfere with the operation or security of the platform.
• Copy, reverse engineer, resell, or exploit the service without written permission.

9. User Content

You retain ownership of the restaurant information and other content you submit.

By using the service, you grant Restaurant Rescue AI permission to store, process, and analyze your submitted information solely for the purpose of providing the service.

10. AI Recommendations

Restaurant Rescue AI provides AI-generated insights and recommendations to assist restaurant owners and managers.

These recommendations are informational only and should not be considered legal, accounting, tax, financial, employment, or professional advice.

You remain solely responsible for all business decisions and their outcomes.

11. Availability

We strive to keep Restaurant Rescue AI available at all times but do not guarantee uninterrupted service.

Maintenance, updates, technical issues, or circumstances beyond our control may temporarily affect availability.

12. Intellectual Property

Restaurant Rescue AI, including its software, branding, graphics, content, and technology, is owned by or licensed to Restaurant Rescue AI and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, or create derivative works without prior written permission.

13. Limitation of Liability

To the maximum extent permitted by law, Restaurant Rescue AI and its owners, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

Our total liability for any claim will not exceed the amount you paid to Restaurant Rescue AI during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, abuse the platform, or create security risks.

15. Privacy

Your use of Restaurant Rescue AI is also governed by our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time.

Updated Terms become effective when published within the application or on our website. Continued use of the service after changes are posted constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-law principles.

18. Use at Your Own Risk and No Guarantee of Accuracy

Restaurant Rescue AI is a restaurant-management, operational, analytical, organizational, and AI-assisted software tool. Use of the service and reliance upon any information, calculation, report, recommendation, projection, analysis, AI output, invoice extraction, inventory quantity, labor or payroll calculation, scheduling information, POS information, or other output is entirely at the Subscriber's own discretion and risk.

We do not warrant that any such output will be complete, accurate, current, error-free, or suitable for any particular purpose. You remain solely responsible for independently verifying information before relying upon it for operational, employment, payroll, financial, inventory, scheduling, purchasing, accounting, tax, compliance, or other business decisions.

The service and any AI functionality do not constitute legal, accounting, tax, payroll, employment, human-resources, financial, cybersecurity, food-safety, regulatory, or other licensed professional advice. Consult qualified professionals when professional advice is required.

19. Your Information, Authorization and Account Security

You are solely responsible for the accuracy, legality, completeness, authorization, and appropriateness of all information you enter, upload, scan, import, or store — including employee, payroll, wage, Social Security, banking or direct-deposit, address, scheduling, timekeeping, POS, sales, inventory, vendor, invoice, financial, and operational information, and all uploaded documents and photographs.

You represent that you have all authority, permissions, notices, and consents required by applicable law to submit information concerning another person. We do not independently verify whether you are legally permitted to do so.

You are responsible for maintaining the confidentiality of your usernames, passwords, authentication credentials, devices, and user, administrative, and employee accounts, for activity occurring through accounts under your control, and for promptly reporting suspected unauthorized access or compromised credentials.

20. Data Security and Cybersecurity Disclaimer

We implement administrative, technical, organizational, and security measures intended to protect information processed through the service. However, no internet-connected system, database, application, cloud platform, network, electronic transmission, or third-party service can be guaranteed to be completely secure, and you accept the inherent risks of electronically transmitting and storing information.

To the maximum extent permitted by applicable law, we are not liable for damages arising from unauthorized access, cybersecurity incidents, hacking, malware, ransomware, credential theft, third-party attacks, telecommunications failures, cloud-provider incidents, or other unauthorized access occurring despite commercially reasonable security measures.

Nothing in these Terms waives, restricts, or eliminates any obligation that cannot legally be waived under applicable privacy, cybersecurity, consumer-protection, or data-breach notification law.

21. Third-Party Services and Integrations

The service may integrate or communicate with independently operated third parties, including Stripe; supported AI providers such as OpenAI, Google Gemini and Anthropic Claude; POS and payroll providers; restaurant vendors and distributors; cloud, email and data-storage providers; and optional external services added in the future. These parties are not controlled by us.

When required for a selected feature, your organization is responsible for establishing and maintaining its own provider accounts, credentials, subscriptions, API access, permissions, security settings and billing relationships. Restaurant Rescue AI subscription fees do not include third-party provider charges unless we explicitly state otherwise in writing.

Automated functionality depends on a successful, supported connection. Without it, related features may be disabled or limited, information may not synchronize automatically, reports or calculations may have less available data, and manual entry may be required. An interruption or change in a third-party service does not by itself mean Restaurant Rescue AI has malfunctioned.

Restaurant Rescue AI provides AI-enabled software, but normal paying customers must connect an organization-owned supported AI provider before real AI-powered features can run. That provider bills the organization directly under its own pricing, usage limits, terms and policies.

We do not guarantee any provider's availability, uptime, API access, compatibility, pricing, usage limits, policies, performance, security, or continued support. Disconnecting an integration stops future access or synchronization but does not delete existing Restaurant Rescue AI records unless the customer separately chooses to delete them.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESTAURANT RESCUE AI IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND RELIABILITY, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the service will operate continuously, without interruption, defects, security incidents, or errors.

23. Release, Assumption of Risk and Indemnification

To the fullest extent permitted by applicable law, you knowingly assume the risks associated with using software, cloud-based services, artificial intelligence, electronic data storage, third-party integrations, and internet-based communications. The service assists with restaurant operations and does not replace your independent judgment, management responsibilities, internal controls, professional advisors, or legal and regulatory obligations.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Restaurant Rescue AI, its developer, owner, operator, company, members, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal expenses arising from or related to information you submit, unauthorized or unlawful use of the service, violation of these Terms or applicable law, violation of another person's privacy or other rights, your employment or payroll practices, your restaurant operations, or actions taken based upon information generated by the service.

24. Severability and Non-Waivable Rights

If any portion of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the greatest extent legally permitted and the remaining provisions remain in full force and effect.

Nothing in these Terms is represented as overriding any federal, state, local, privacy, cybersecurity, data-breach, consumer-protection, or other law that legally cannot be waived.

25. Express Electronic Acceptance and Policy Versions

You must affirmatively accept these Terms, the Privacy Policy, the Liability, Accuracy & Third-Party Services Acknowledgment, and the Third-Party Integrations & Full Platform Functionality acknowledgment — which are incorporated into one another by reference — before you can access or continue using Restaurant Rescue AI. Acceptance boxes are unchecked by default and required before proceeding.

We record each acceptance against your authenticated account, including the date and time, the document title, the accepted version, and its effective date, so there is an auditable record of exactly what you agreed to. Acceptance is verified on the server, not only in the browser.

If these documents are materially changed, you must affirmatively accept the updated versions before continuing to use the service.
